Terms and Conditions of Sale

These Terms and Conditions of Sale ("Terms") govern all purchases of industrial machinery, equipment, parts, and related services from Packaging and Wrapping Machines LLC ("Seller"). By issuing a purchase order, paying an invoice, or accepting delivery of equipment, the buyer ("Buyer") agrees to be bound by these Terms.

1. Pricing, Invoicing, and Payment Terms

All prices are quoted in U.S. Dollars (USD) and do not include applicable state, local, or federal taxes, which are the responsibility of the Buyer.

  • Capital Equipment: Standard machine orders require a milestone payment structure (e.g., initial deposit to initiate production/allocation, and the remaining balance prior to freight booking), unless explicitly stated otherwise on the official Seller invoice.
  • Payment Methods: Payments must be made via ACH, Wire Transfer, or approved corporate check. Production and shipping timelines do not commence until the initial deposit is cleared.

2. Freight, Shipping, and Risk of Loss (FOB Origin)

All machinery and equipment are sold FOB Origin (Shipping Point).

  • Transfer of Liability: The risk of loss, damage, or destruction transfers from the Seller to the Buyer the moment the equipment is loaded onto the third-party LTL freight carrier or dedicated truck at the point of origin.
  • Freight Arrangements: While the Seller may arrange and prepay freight as a convenience to the Buyer, the freight carrier operates as an agent of the Buyer. The Seller is not liable for transit delays, carrier mishandling, or weather-related transit issues.

3. Receiving Protocol and Damage Claims

Industrial stretch wrappers are heavy capital equipment. The Buyer must enforce strict receiving protocols at their facility:

  • Bill of Lading (BOL) Inspection: The Buyer is strictly responsible for inspecting all crates, skids, and equipment for visible damage before signing the carrier's BOL.
  • Visible Damage: Any visible damage (e.g., crushed crates, torn shrink wrap, tipped machines) must be photographed and explicitly noted in writing on the driver's BOL prior to signing. Failure to note visible damage on the BOL acts as a waiver of the Buyer's right to file a freight claim.
  • Concealed Damage: If damage is discovered after unpacking (concealed damage), the Buyer must notify the Seller and the freight carrier in writing within 48 hours of delivery. Claims made after 48 hours will be denied by the freight carrier.

4. Lead Times and Delays

All quoted shipping dates and production lead times are estimates based on current factory capacity and global logistics. The Seller is not liable for delays caused by customs processing, port congestion, acts of God, labor strikes, or supply chain shortages. Delays in transit do not constitute grounds for order cancellation or price reduction.

5. Cancellations and Returns

Due to the industrial and customized nature of our equipment:

  • Machine Orders: Orders for capital equipment cannot be canceled once production has commenced or the unit has been allocated for import.
  • Returns: We do not accept returns on capital equipment, stretch wrappers, or custom-configured machinery. Parts returns may be permitted within 14 days of delivery at the Seller's sole discretion, subject to a minimum 25% restocking fee. The Buyer is responsible for all return freight costs.

6. Warranty and Technical Support

Machinery is backed by our standard factory warranty. Warranty coverage is strictly limited to the repair or replacement of defective components and does not cover damage caused by improper installation, facility power surges, unauthorized modifications, or operator abuse.

7. Limitation of Liability

Under no circumstances shall Packaging and Wrapping Machines LLC be liable for any indirect, incidental, punitive, or consequential damages. This includes, but is not limited to, loss of profits, facility downtime, loss of production, or injury to personnel or property arising from the use, installation, or failure of the equipment. The Seller's maximum total liability shall not exceed the original purchase price of the specific equipment in question.

8. Governing Law and Jurisdiction

These Terms and any disputes arising from the sale of equipment shall be governed by and construed in accordance with the laws of the State of Georgia, without regard to its conflict of law principles. The Buyer agrees that any legal action or proceeding shall be brought exclusively in the state or federal courts located in Fulton County, Georgia, and the Buyer submits to the exclusive jurisdiction of these courts.
